What Happens When the Heads of Agreement is NOT Signed as Agreed?

So…

Wednesday before Easter, the meeting took place and both parties agreed on the terms and conditions to move to Due Diligence.

Both agreed that the Heads of Agreement would be signed by the commencement of Easter.

Nothing happened!

 

Both again agreed that it would be done by noon on the following Tuesday.

Nothing happened!

Now the buyer has come back with new terms and conditions. The seller is thinking “you have got to be joking” (or is that really me…). Who/what am I really dealing with here?

It has now got to “have the deposit in the bank tomorrow by noon or the deal is effectively off”.

Fortunately we have Plan B in the wings.
Can’t say I understand the stalling tactic, nor do I condone it. 
Won’t Thursday be interesting….

Don’t You Love It When the Heads of Agreement is Signed, but…


But, that’s only the start of the next stage of the process… there’s so much more to be revealed to actually get the deal over the line.

The next part of Due Diligence.

What does that mean exactly?
It is verification of all that you’ve told the buyer about your business, as the business owner.  If you’ve told any porkies during the sale process, now is the time they will probably come out. Best not to do so…

It can be a time of nervous energy but one to go through nonetheless. Keep it as clean as possible and the stress levels will be as reduced as they can be.
